The service. Tradeloom is business software for traders, wholesalers, distributors, retailers and service businesses provided by Tradeloom. These terms apply to the website, the demo and, unless your signed agreement says otherwise, the product.
Agreement comes first. If you have signed an agreement or order form with us, it overrides these terms where they differ.
Licence. On payment, we grant you a non-exclusive, non-transferable licence to use Tradeloom for your own business, for the number of users and scope stated in your order form. You may not resell, sublicense, copy or reverse engineer it.
Hosting and support. The yearly hosting and support fee covers hosting, nightly backups, support and updates for the period paid. Your licence is yours to keep. If a renewal is missed, we give 30 days' notice and a full export of your data before the hosted service ends.
Fees and tax. Fees are a one-time licence fee plus a yearly hosting and support fee, as stated in your order form. GST is charged as applicable. Late payment may lead to suspension after notice.
Your data. You own your data. You are responsible for what you enter and for having the right to enter it. We process it only to provide the service. On request or at the end of the agreement, you may export it. After the retention period in our Privacy Policy, we delete it.
Backups. We take nightly backups and test restores. You remain responsible for keeping your own copies of important records.
Availability. We aim to keep the service available and will use reasonable efforts to fix problems quickly. We do not guarantee uninterrupted service.
Acceptable use. No unlawful use, no attempts to break security or access other clients' data, no overloading the service.
Demo. The demo is provided as-is for evaluation. Do not enter real data. We may reset or remove it at any time.
Suspension and ending. We may suspend an account for non-payment or breach, after notice where reasonable. You may stop using the service at any time. Fees paid are refundable only as stated in the Refund and Cancellation policy.
Liability. To the extent allowed by law, we are not liable for indirect or consequential loss, or loss of profit or data. Our total liability is limited to the fees you paid in the 12 months before the claim.
Software and trademarks. Tradeloom, its code, design and name belong to Tradeloom. Your licence does not transfer ownership.
Governing law. Indian law applies. Courts in Ahmedabad, Gujarat have exclusive jurisdiction.
